Linglong Tire Restructures Family Shareholding While Maintaining Controlling Ownership
Linglong Tire has announced an internal restructuring of the shareholding structure within its controlling shareholder, Linglong Group. The transaction is part of a family ownership reorganization and does not result in any change to the company's actual controlling shareholder or its corporate governance.
Under the arrangement, Wang Feng transferred his entire 14.55% equity interest in Linglong Group to his spouse, Dai Yunxia, through a zero-consideration transfer between spouses. Following the transaction, Dai Yunxia becomes a shareholder of Linglong Group and indirectly holds an interest in Linglong Tire through the group's existing shareholding.
To ensure continuity of corporate control, members of the Wang family simultaneously entered into a concerted action agreement. The agreement confirms that the family will continue to exercise voting rights and make major shareholder decisions jointly. As a result, Linglong Tire stated that the transaction does not affect the company's actual controller, ownership stability or day-to-day operations.
Linglong Group remains the controlling shareholder of the listed company and continues to hold its existing stake in Linglong Tire. The restructuring changes only the internal ownership distribution within the controlling family and does not involve the sale of shares to external investors.
According to the company, the transaction has no impact on business operations, management, financial performance or the company's long-term development strategy. Linglong Tire will continue to operate under its existing governance framework and management structure.
The shareholding adjustment was disclosed in accordance with the company's regulatory obligations and forms part of its ongoing corporate governance and shareholder transparency requirements.
